1. Agreement to terms

By accessing or using ProposalForce ("the Service") at proposalforce.uk, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

ProposalForce is a software-as-a-service platform that uses artificial intelligence to help freelancers and agencies generate professional proposals and contracts. The Service is intended for business use by UK-based individuals and organisations.

3. Accounts and eligibility

  • You must be at least 18 years old to use the Service.
  • You are responsible for keeping your account credentials secure.
  • You are responsible for all activity under your account.
  • You must provide accurate information when creating your account.
  • One account per person or business entity. Do not share accounts.

4. Subscriptions and billing

ProposalForce offers a free tier and paid subscription plans billed monthly. Paid plans are billed in advance on the date you subscribe. All prices shown include VAT where applicable.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer pro-rata refunds for partial months, except as required by UK consumer law.

We reserve the right to change prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

Payment processing is handled by Stripe. By providing payment details, you agree to Stripe's terms of service.

5. Acceptable use

You agree not to use the Service to:

  • Generate content that is fraudulent, misleading, or intended to deceive
  • Infringe the intellectual property rights of any third party
  • Violate any applicable law or regulation
  • Attempt to circumvent usage limits or tier restrictions
  • Reverse engineer, scrape, or otherwise extract data from the Service
  • Interfere with or disrupt the Service or its infrastructure

6. AI-generated content

The proposals and contracts generated by ProposalForce are created using artificial intelligence. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or omissions.
  • AI-generated contracts are not a substitute for legal advice. You should have a solicitor review any contract before relying on it.
  • ProposalForce makes no warranty that generated content is legally compliant or fit for your specific purpose.
  • You are solely responsible for reviewing, editing, and using any content generated by the Service.

7. Intellectual property

You retain ownership of all content you input into the Service and all output generated for you. ProposalForce does not claim ownership of your proposals or contracts.

ProposalForce retains all rights to the Service itself, including its software, design, and underlying technology. You may not copy, modify, or distribute the Service or any part of it.

8. Limitation of liability

To the maximum extent permitted by law, ProposalForce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid to us in the 3 months preceding the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that generated content will meet your requirements.

10. Termination

We may suspend or terminate your account if you breach these terms, with or without notice. You may terminate your account at any time via your account settings or by contacting us.

Upon termination, your right to use the Service ceases immediately. We may retain your data for the period required by law.

11. Changes to terms

We may update these terms from time to time. We will notify you of material changes by email or via a notice in the app. Continued use of the Service after changes take effect constitutes acceptance of the new terms.

12. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
